Scope
This Acceptable Use Policy (the "AUP") forms part of the Terms of Service between TABAOUS PTE. LTD. (UEN 202611389H) (the "Company", "we" or "us") and you (the "Merchant" or "you"). It applies to your use of the Tabao Us website, the manage dashboard, your storefront, our APIs and all other parts of the Service. Any breach of this AUP is a material breach of the Terms of Service.
Prohibited content and activity
You must not, and must not permit any third party to, use the Service to host, advertise, sell, promote, transmit, store or otherwise make available any product, service, content or activity that:
- is unlawful under the laws of Singapore or any other jurisdiction in which orders are accepted, fulfilled, marketed or paid for;
- infringes or misappropriates any intellectual property right, right of publicity, right of privacy, contractual right, or any other right of any person;
- is fraudulent, deceptive, misleading or contains material misrepresentations as to identity, origin, ingredients, quantity, quality, fitness, allergen status, dietary status, certification, country of origin or any other material fact;
- depicts, promotes, glorifies or facilitates child sexual abuse, terrorism, violent extremism, self-harm, suicide, or trafficking in human beings or human organs;
- constitutes hate speech, harassment, defamation, threats, or incitement to violence on the basis of race, religion, gender, gender identity, sexual orientation, nationality, disability, age or any other protected characteristic;
- involves the unlawful sale or distribution of weapons, explosives, controlled goods, controlled drugs, drug paraphernalia, prescription pharmaceuticals, vape and electronic cigarette products, kratom, nitrous oxide, regulated chemicals, hazardous materials, endangered species, ivory, products derived from protected wildlife, counterfeit currency, forged documents, or stolen property;
- involves gambling, lottery, sweepstakes, prize draws, contests of chance, sports betting or any other regulated wagering activity, except where the Merchant is licensed under Singapore law and we have provided express prior written consent;
- involves the sale of alcohol to any person under the age of eighteen (18), tobacco or tobacco-related products, raw or undercooked food that you are not licensed or equipped to sell safely, or any food, drink or ingredient sold in breach of the Sale of Food Act 1973, the Food Regulations, or any rule, licence or registration requirement of the Singapore Food Agency that applies to a home-based food business;
- involves any product that is restricted, prohibited or otherwise listed on the Stripe Restricted Businesses list at https://stripe.com/restricted-businesses, or that any payment partner refuses to process;
- involves the sale of personal data, mailing lists, biometric data, identity documents, financial credentials, or any service that promotes circumvention of security or authentication systems;
- involves money services, virtual currency, money remittance, e-money, payday lending, debt-collection services, escrow, or any service that requires a licence from the Monetary Authority of Singapore that the Merchant does not hold;
- involves multi-level marketing, pyramid selling, get-rich-quick schemes, no-value-added resale of digital goods, or any other deceptive sales model;
- is sexually explicit material, adult services, escort services or any service that the Merchant is not lawfully entitled to offer;
- involves COVID-19 or other public-health-related claims, miracle cures, unapproved medical devices, or unproven health benefits;
- constitutes spam, unsolicited commercial communication or bulk messaging, or any marketing sent in breach of the Spam Control Act 2007 or the Do Not Call provisions of the Personal Data Protection Act 2012, including sending a marketing message to a Singapore telephone number without the recipient's clear consent or a valid register check, failing to identify yourself as the sender with working contact details, or failing to act on an opt-out request within twenty-one (21) days, whether the message is sent by SMS, call, or an instant-messaging channel such as Telegram;
- is intended to defraud, abuse, harass, threaten or stalk any individual.
Food safety and your responsibility as the seller
You are the seller of every item you list, and the contract for the supply of that item is formed directly between you and your customer. We provide the storefront software and payment facilitation only; we do not prepare, handle, package, store, deliver, inspect or sell your food, and we make no representation about it. You are solely responsible, as the supplier, for the safety, quality, hygiene and conformity of everything you sell.
Accordingly, you must at all times: (a) hold and keep current every licence, registration, permit or approval required to run your business and sell your food, including any Singapore Food Agency requirement that applies to a home-based food business; (b) prepare, store, package and deliver food in line with the Sale of Food Act 1973, the Food Regulations and good food-hygiene practice; (c) state ingredients, allergens, dietary claims, weights, prices and any halal, vegan, gluten-free or similar claim accurately, and not mislead any customer as to the nature, origin, standard or quality of an item; and (d) handle any food-safety, allergen, contamination or fulfilment complaint promptly and deal fairly with the customer's rights under the Consumer Protection (Fair Trading) Act 2003. You are responsible for these obligations even where you use an AI-assisted feature to draft menu copy or images.
Platform abuse
You must not, and must not permit any third party to, do any of the following in respect of the Service:
- interfere with or disrupt the integrity, security, performance or availability of the Service or any underlying infrastructure;
- probe, scan, test the vulnerability of, or otherwise attempt to breach the security of the Service, except under a written authorisation from the Company;
- introduce or transmit any virus, worm, trojan, spyware, ransomware, time bomb or other malicious code;
- attempt to gain unauthorised access to any part of the Service, any account, any data, any system or any network connected to the Service;
- use any robot, spider, scraper, automated tool or process to access, monitor, copy, harvest or extract any content or data from the Service, except as expressly authorised by us in writing;
- circumvent or disable any rate-limit, authentication, access-control or technical-protection measure of the Service;
- reverse engineer, decompile, disassemble or otherwise attempt to derive the source code or underlying technology of the Service;
- use the Service to develop, train, benchmark or improve any product or service that competes with the Service;
- impersonate any person or entity, including any officer, employee or agent of the Company;
- submit transactions on behalf of any third party, split a single transaction into multiple charges, or process payments unrelated to bona fide sales by your business;
- operate more than one Merchant account for the same business without our prior written consent;
- use the Service in a way that imposes an unreasonable or disproportionately large load on our infrastructure or that, in our reasonable opinion, may cause harm to the Service or to other Merchants.
AI and automated content
If you use any AI-assisted feature of the Service or upload AI-generated content to your storefront, you remain solely responsible for the accuracy, lawfulness and quality of the resulting content, including for any incorrect, misleading or infringing output. You must not present AI-generated content as a representation by the Company.
Fair dealing with customers
You must deal with your customers fairly and must not engage in any unfair, false or misleading practice prohibited by the Consumer Protection (Fair Trading) Act 2003. In particular, you must not: post, buy, solicit or recycle fake or incentivised reviews, or present another seller's reviews as your own; use false or exaggerated urgency, countdown timers, fabricated stock-scarcity claims or fake sale or discount pricing to pressure a purchase; advertise items you cannot or do not intend to supply; hide or add mandatory fees only at the final checkout step rather than showing the customer the all-in price before they commit; or otherwise mislead a customer as to price, availability, standard, quality or fitness of an item.
Enforcement
We may, at any time and in our sole discretion, without notice and without liability, take any of the following actions if we reasonably believe that you have violated this AUP, the Terms of Service, the Stripe Agreements or any applicable law, or if your use of the Service poses a risk to the Service, our other Merchants, our customers, our payment partners or us:
- remove any content from your storefront;
- suspend or terminate your account, your storefront or any feature of the Service, in whole or in part;
- suspend, withhold, reverse or claw back any payout, refund or transaction;
- place a reserve, hold or freeze on your Stripe balance and on any payout otherwise payable to you;
- report the matter to Stripe, the Singapore Police Force, the Monetary Authority of Singapore, the Personal Data Protection Commission, the Singapore Food Agency, the Competition and Consumer Commission of Singapore, the Inland Revenue Authority of Singapore, or any other competent authority;
- share information about the suspected violation with our service providers, payment partners, regulators and law-enforcement agencies; and
- take any other action we consider necessary or appropriate.
Action taken under this AUP is without prejudice to any other right or remedy available to the Company at law or under the Terms of Service, including the recovery of any Negative Balance, indemnification, and the recovery of all costs incurred (including legal fees on a full indemnity basis).
Reporting violations
If you become aware of any actual or suspected violation of this AUP, please report it to hello@tabaous.com. We will investigate reports we receive but are not obliged to take any particular action and will not provide you with the outcome of any investigation.
Changes to this AUP
We may update this AUP from time to time. Material changes will take effect no earlier than fourteen (14) days after notice, except where a shorter period is required by law, regulator or payment partner, or to address a security or operational risk.
